Terms of Service

1. Scope of Services
AR DATA SOLUTIONS, LLC provides data engineering, analytics, machine learning, and related consulting services. Specific deliverables, timelines, and fees are defined in separate Statements of Work (SOWs) or service proposals.
2. Proposals and Agreements
All proposals are valid for 30 days unless otherwise stated. Services commence upon execution of a signed SOW and receipt of any required advance payment. These Terms of Service govern all engagements unless superseded by a separate Master Services Agreement (MSA).
3. Payment Terms
Standard payment terms:
- • Fixed-price projects: 50% upfront, 50% upon completion
- • Retainers: Monthly invoicing, due within 15 days
- • Late payments: 1.5% monthly interest after 30 days
- • Expenses: Client-approved expenses billed at cost
4. Intellectual Property
Client Ownership
Upon full payment, all work product specifically created for the client becomes the client's property, including code, models, documentation, and datasets.
AR Data Solutions Retention
We retain ownership of internal tools, frameworks, methodologies, and pre-existing intellectual property used in delivering services.
5. Confidentiality
Both parties agree to protect confidential information disclosed during the engagement. This obligation survives for 3 years after termination. We may require a separate NDA for highly sensitive projects.
6. Warranties and Disclaimers
We warrant that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
7. Limitation of Liability
Our total liability for any claims arising from services shall not exceed the fees paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate with 30 days written notice. Client remains responsible for payment for work completed through the termination date. Confidentiality and IP provisions survive termination.
9. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Palm Beach County, Florida.
